Terms of Service

• "User" means any individual or entity accessing or using the Service, including Doctors and Clinics.
• "Doctor" refers to a medical professional, currently residing in and licensed to practice in the United Kingdom, seeking employment opportunities in Canada through the Service.
• "Clinic" refers to a legitimate healthcare provider or facility located in Canada seeking to hire Doctors through the Service.

2.1 Eligibility

To use the Service, you must be at least 18 years old and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements. Specific eligibility criteria apply based on your role:

• Doctors: Must possess a valid, current medical license issued by the relevant authorities in the United Kingdom and provide a valid General Medical Council (GMC) number upon registration.
• Clinics: Must be a legitimate healthcare provider or facility located and operating within Canada.

The Service is currently intended solely for Doctors residing in the United Kingdom seeking opportunities in Canada, and for Clinics located within Canada. Use outside these parameters is prohibited.

Doctors are responsible for ensuring their Services comply with United Kingdom law, and Clinics for ensuring their receipt of these Services complies with Canadian law, including regulations on cross-border healthcare, data privacy, and professional liability. NorthStar does not provide any advice or guarantees regarding the legality of cross-border provision of medical services.

2.2 Account Creation

To access certain features of the Service, you must register for an account. You will be required to select your role ('Doctor' or 'Clinic') and provide specific information:

• Doctors: Valid GMC number, email address, and password.
• Clinics: Clinic name, email address, and password.

2.3 Account Responsibility

You are responsible for safeguarding your account password and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2.4 Accuracy of Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Failure to do so constitutes a breach of the Terms, which may result in immediate termination or suspension of your account. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete, or if we suspect fraudulent or misleading activity, or misuse of the platform in violation of these Terms.

3.1 Core Functionality

North* provides an online platform designed to facilitate connections between medical professionals ("Doctors"), primarily from the United Kingdom seeking relocation opportunities, and healthcare providers ("Clinics") located in Canada offering employment positions. The Service includes tools for job discovery, application management, and profile creation.

3.2 Features for Doctors

Registered Doctors may be able to:

• Create and manage a professional profile detailing qualifications and preferences.
• Search, browse, and save job listings posted by Clinics.
• Submit applications for relevant job listings, including uploading supporting documents such as CVs.
• Track and manage submitted job applications.
• View profiles of registered Clinics.

3.3 Features for Clinics

Registered Clinics may be able to:

• Create and manage a profile detailing the clinic or facility.
• Post and manage job listings for medical positions.
• View profiles of registered Doctors who meet specified criteria (subject to Doctor privacy settings).
• Receive and manage applications submitted by Doctors for their job listings.

3.4 No Guarantees; Disclaimers

North* acts as a platform to connect Doctors and Clinics. We make no representations or guarantees regarding:

• The certainty of securing employment for any Doctor or finding a suitable candidate for any Clinic.
• The accuracy, completeness, or timeliness of information provided by Users (including qualifications listed by Doctors or job details posted by Clinics), beyond the initial GMC number format check for Doctors upon registration. Users are solely responsible for verifying information relevant to their hiring or employment decisions.
• The outcome of any application, interview, or employment negotiation process initiated through the Service.

You acknowledge that North* does not conduct extensive background checks or verify all credentials listed by Users. Responsibility for due diligence in the hiring process rests solely with the participating Doctor and Clinic.

3.5 Service Modifications

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof with or without notice at any time. You agree that North* shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

4.1 Lawful Use

You agree to use the Service only for lawful purposes and in accordance with these Terms, applicable laws, and regulations.

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable local, provincial, national, or international law or regulation.
• Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
• Submitting false, inaccurate, misleading, defamatory, libelous, obscene, threatening, or otherwise objectionable content.
• Harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
• Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Using the Service to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Using any robot, spider, scraper, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service, without our prior written consent.
• Using the Service to recruit Doctors or Clinics for competing services or otherwise attempting to solicit Users away from North*.
• Otherwise attempting to interfere with the proper working of the Service.

4.3 Content Responsibility

You are solely responsible for all content, including profile information, job postings, applications, documents, messages, and any other materials ("User Content") that you upload, post, publish, display, or transmit via the Service. You represent and warrant that your User Content does not violate these Terms or any applicable law, and that you have all necessary rights to submit the User Content. We do not endorse any User Content and are not responsible or liable for its accuracy, legality, or appropriateness. We reserve the right, but are not obligated, to monitor, review, screen, or remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable, without notice. We have the right to take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Content violates the Terms, including the User Conduct and Responsibilities, infringes any Intellectual Property Right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for NorthStar.

5.1 Ownership of the Service

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), and the "North*" name and logo, are owned by Fleur Trail Ltd., its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms for your personal or internal business purposes related to recruitment or job seeking.

5.2 Ownership of User Content

You retain ownership of all intellectual property rights in the User Content you submit to the Service.

5.3 License Grant to North*

By submitting User Content to the Service, you grant Fleur Trail Ltd. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely in connection with providing and operating the Service, promoting the Service (e.g., using anonymized data), and fulfilling our obligations under these Terms. This license is necessary for us to, for example, display your profile to potential employers/candidates, process your job applications, and store your data. This license ends when you delete your User Content or your account, except to the extent your content has been shared with others and they have not deleted it, or for backup/archival purposes as required by law or our data retention policies.

5.4 Feedback

If you provide us with any feedback, suggestions, improvements, or ideas regarding the Service ("Feedback"), you hereby grant Fleur Trail Ltd. an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose, including to improve the Service and create other products and services, without any obligation or compensation to you.

Your privacy is important to us. Our collection and use of personal information in connection with your access to and use of the Service is described in our Privacy Policy. By using the Service, you acknowledge that you have read the Privacy Policy and agree to its terms, consenting to the data practices described therein.

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. NEITHER FLEUR TRAIL LTD. NOR ANY PERSON ASSOCIATED WITH FLEUR TRAIL LTD. MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER FLEUR TRAIL LTD. NOR ANYONE ASSOCIATED WITH FLEUR TRAIL LTD. REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLEUR TRAIL LTD., ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THIS LIMITATION APPLIES TO DAMAGES RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

7.3 Jurisdictional Exceptions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

You agree to defend, indemnify, and hold harmless Fleur Trail Ltd., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms; or (iii) your violation of any law or the rights of a third party.

9.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice or conflict of law provision or rule.

9.2 Informal Negotiation

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and Fleur Trail Ltd. agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other. You will send your notice to legal@northstar-physicians.com and we will send our notice to the email address you have provided to us.

9.3 Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the rules of a recognized arbitration provider mutually agreed upon by the parties in London, United Kingdom. If the parties cannot agree on an arbitration provider, the arbitration shall be conducted under the rules of the London Court of International Arbitration (LCIA) or another established alternative dispute resolution provider chosen by Fleur Trail Ltd. The arbitration shall be conducted in London, United Kingdom, by a single arbitrator experienced in the software and recruitment industries. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

9.4 Arbitration Rules and Procedures

The arbitration will be conducted in English. The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate. The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity.

9.5 Waiver of Jury Trial and Class Actions

YOU AND FLEUR TRAIL LTD. HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Fleur Trail Ltd. are instead electing that all Disputes shall be resolved by arbitration under this Arbitration Agreement, except as specified in Section 9.6 below. FURTHERMORE, YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION, AND YOU EXPRESSLY WAIVE YOUR RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.

9.6 Exceptions to Informal Negotiations and Arbitration

Notwithstanding the foregoing, the following types of Disputes are not required to be submitted to informal negotiation and arbitration: (a) Disputes seeking to enforce or protect, or concerning the validity of, any of your or Fleur Trail Ltd.'s intellectual property rights; (b) Disputes related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. Any such Dispute shall be filed in the courts located in London, United Kingdom.

10.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Fleur Trail Ltd. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

10.2 Changes to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, typically by sending an email to the primary email address associated with your account or by posting a notice on the Website. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.

10.3 Waiver

No waiver by Fleur Trail Ltd. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Fleur Trail Ltd. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

10.4 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

10.5 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Fleur Trail Ltd. without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
